Securities Regulation (5370)

This course is designed as an introductory survey of regulation of U. S. capital markets on the federal and state level. The class will focus on three main aspects of securities laws: the sale of securities by business entities, disclosure obligations of registered public companies, and aspects of corporate governance for public companies. There will be multiple assessments as students will be asked to draft a series of disclosure documents over the course of the semester. There will be no final exam.
